OnlyFans is in exclusive talks to sell a majority stake to San Francisco investment firm Architect Capital in a deal that would value the subscription platform at about $5.5 billion, people familiar with the matter said. The agreement is not finalized.
Launched in 2016, OnlyFans built a direct-to-fan subscription model that lets creators — from artists and fitness instructors to celebrities and adult entertainers — monetize content directly from subscribers. The platform’s approach has made it a prominent player in the subscription content market.
Reported fiscal 2024 results show OnlyFans generated $7.22 billion in gross revenue and $684 million in pre-tax profit, underscoring strong monetization and market penetration. Architect Capital, which specializes in tech companies, has indicated the investment could include a path to a public offering by 2028 as part of a longer-term growth plan.
OnlyFans has navigated significant regulatory and operational challenges, particularly around adult content moderation and payment processing. Company executives have emphasized efforts to balance creator freedom with compliance and safety measures while maintaining platform access for creators.
The proposed investment would bring capital and strategic support aimed at scaling the platform and expanding its product and market reach. Observers say Architect’s involvement could accelerate growth initiatives and prepare OnlyFans for broader institutional investor interest.
Compared with subscription platforms such as Substack and Patreon, OnlyFans’ valuation and reported revenues reflect a larger scale and higher monetization per user. Its subscription-first model differs from major social networks that rely primarily on advertising revenue.
As negotiations move forward, the potential deal would position OnlyFans to continue expanding its footprint in the digital subscription economy while addressing regulatory and operational hurdles that have shaped its evolution.
